Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the services provided by Grippy Code LLC, an Ohio limited liability company ("Grippy Code", "we", "us"), including websites, landing pages, website hosting, and CRM (collectively, the "Services"). By purchasing or using the Services, you ("Client", "you") agree to these Terms.

1. The Services

Grippy Code provides software and done-for-you services for service businesses, including: (a) an AI voice receptionist that answers calls, qualifies callers, quotes prices you configure, and books appointments; (b) hand-built websites and landing pages; and (c) a CRM and dashboard. Specific features depend on the plan you purchase.

2. Accounts & eligibility

You must provide accurate information, keep your login secure, and be authorized to act for your business. You are responsible for all activity under your account. You must be a business; the Services are not intended for consumers.

3. Billing, plans & minutes

• Subscriptions are billed monthly (or annually if selected) in advance and renew automatically until cancelled.
• Each AI plan includes a set number of included minutes per billing period. Usage beyond included minutes is billed at your plan's per-minute overage rate, shown at checkout and in your dashboard.
• Included minutes do not roll over unless your plan explicitly states otherwise.
• Website plans are billed six (6) months in advance. Your initial payment covers the first six (6) months of service — twelve (12) months for WebGL/Immersive sites — which is also the minimum term. This prepayment is non-refundable once we begin building your site. After the prepaid minimum term ends, your plan continues month-to-month at the same monthly rate, and you may cancel at any time; cancellation takes effect at the end of the then-current paid month and stops future billing. We do not provide partial refunds for unused time within a paid month or for the prepaid minimum term.
• The CRM is billed as a per-seat subscription: a base plan of $75/month that includes one (1) administrator seat, plus $25/month for each additional user seat. You may choose monthly or annual billing; annual plans are billed once for ten (10) months of fees and include twelve (12) months of service. You may cancel at any time; cancellation stops future billing at the end of the current billing period. CRM fees already incurred are non-refundable, and we do not provide partial refunds for unused time or seats within a paid period.
• Prices are exclusive of any applicable taxes (e.g., VAT), which are added where required by law.
• We may change pricing on renewal with at least 30 days' notice.

Automatic renewal of website hosting (one-time website purchases)

• What renews: if you buy a website with a one-time payment, it includes 12 months of hosting. After that, website hosting (only) renews automatically.
• Price and how often: $299 per year, charged to the card you used at purchase, every year until you cancel. You agree to this with a separate checkbox at checkout.
• When: the first charge is on the day your included 12 months of hosting end, then on the same date each year. We email you a reminder about 35 days and again 7 days before every renewal.
• How to cancel: online, anytime, at crm.grippycode.com/hosting/cancel (enter your purchase email and we send you a cancel link), or with the cancel link in any reminder email. No login or phone call needed. We confirm every cancellation by email.
• When cancelling takes effect: at the end of the hosting period you’ve already paid for; you won’t be charged again.
• Refunds: ask within 14 days of a renewal charge and we’ll refund that renewal in full. Otherwise renewal charges are non-refundable and there are no partial refunds for the rest of the renewed year, except where the law requires it. When we refund a renewal, auto-renew is switched off (no further charges) and hosting ends on the date it would have ended without that renewal (or right away if that date has passed). • We won’t raise the renewal price for an existing customer without telling you in advance and getting your agreement.

4. Cancellation

AI Receptionist and CRM subscriptions can be cancelled at any time from your dashboard or by emailing info@grippycode.com. Website plans are prepaid for a minimum term (six months, or twelve months for WebGL/Immersive sites); you may cancel at any time after the prepaid minimum term ends, as described in Section 3. The hosting auto-renewal for one-time website purchases can be cancelled online anytime at crm.grippycode.com/hosting/cancel (see Section 3). In all cases, cancellation stops future renewals; it does not retroactively refund the current period. See our Refund Policy for how the minimum term and refunds apply.

5. The AI — important limitations

The AI Receptionist is automated software. While we work hard to make it accurate, it can mishear, misunderstand, or make mistakes, and call quality depends on third-party networks and providers. You are responsible for reviewing captured leads and bookings. Grippy Code does not guarantee that every call will be answered, transcribed, quoted, or booked correctly, and is not liable for missed calls, lost leads, incorrect quotes, or missed bookings beyond the remedy described in Section 9.

6. Your content & intellectual property

• You retain ownership of your business content, customer data, prices, and brand assets you provide.
• You grant us a license to use that content solely to operate the Services for you.
• Grippy Code retains all rights to its platform, software, AI configuration, and templates.
• For website and landing-page rentals: while your website subscription is active, Grippy Code hosts the site and licenses its use to you for your business. The site, its code, design, frameworks, and reusable components remain the property of Grippy Code; your own content and brand assets remain yours, as described above. If you buy a website outright (one-time purchase), then once paid in full you own the finished site’s design, content, and the code we wrote for it, and you may move it to any host at any time; we keep ownership of our underlying frameworks and reusable components but grant you a perpetual, royalty-free license to use them as part of your site. Your purchase includes the first 12 months of hosting, after which hosting renews automatically as described in the automatic renewal section below unless you cancel.

7. Acceptable use

You may not use the Services to break the law, place or facilitate spam/robocalls, harass, infringe others' rights, or resell the Services without our written consent. We may suspend accounts that abuse the Services or create risk for our telephony providers.

8. Third-party providers

The Services rely on third parties (e.g., voice/telephony, AI model, and payment providers). Their availability and terms are outside our control, and outages on their side may affect the Services.

9. Disclaimers & limitation of liability

The Services are provided "as is" without warranties of any kind. To the maximum extent permitted by law, Grippy Code's total liability for any claim arising out of or relating to the Services is limited to the amount you paid us in the three (3) months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business.

10. Term & suspension

These Terms apply while you use the Services. We may suspend or terminate access for non-payment, breach of these Terms, or legal/risk reasons.

11. Changes

We may update these Terms. Material changes will be communicated by email or in-app. Continued use after changes means you accept them.

12. Governing law

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Ohio, unless applicable law requires otherwise.
